The book focuses on small and medium-sized companies (SMEs). These companies’ owner- and management structure differ from companies quoted on the stock exchange, in having few owners, who also typically are the management and the employees of that company. This creates some problems of legal and management kind. This book treats these issues in details.
Among others, the contributions to this book address:
- Conflicts between the owners who might result in e.g. a ‘dead-lock’
- Mechanisms of legal kind that might prevent conflicts
- Generational ownership change or selling process of the company? How to make a suitable plan from a legal point of view in this regard.
Finally, focus is moved to a proposal for a new supranational type of company structure, in the shape of a European private limited company, and how the SMEs can use this.
